A. Website Terms of Use

1. Who we are & contact.

2. Acceptable use.

   Don’t misuse the site (e.g., attempt to bypass security, scrape in bulk, inject malicious code). We may modify or suspend the site at any time.

3. Site content & IP.

   All text, images, graphics, code, and trademarks on this site are owned by DGecko or our licensors. You may link and share short excerpts with attribution. No commercial reuse without written permission.

4. Portfolio usage.

   Unless a signed NDA says otherwise, we may display non-confidential work (and client name) in our portfolio and channels. You can request an embargo period.

5. Third-party links & services.

   We aren’t responsible for third-party sites, themes, plugins, fonts, CDNs, or services referenced here.

6. “As-is” disclaimer.

   The site is provided “as is” without warranties of any kind. We do not guarantee uninterrupted or error-free operation.

7. Governing law & venue.

   These Terms are governed by Vietnamese law. Courts of Ho Chi Minh City have exclusive jurisdiction.

B. Service Terms (Engagement)

1. Scope, process & approvals.

   Your proposal/quote defines deliverables, timeline, and price. Typical flow: discovery → concepts → 2–3 rounds of revisions → final approval. Client responsibilities: provide timely content/assets/access/feedback and secure any third-party permissions (venues, permits, releases).

2. Change control (out-of-scope).

   Work outside the quoted scope (e.g., extra pages/features, additional rounds, added shoot hours/edits) will be quoted first and billed at our standard rates.

3. Fees, invoicing, VAT, late payment & suspension.

   Quotes are in VND or USD; a deposit may be required. VAT 8% applies to Vietnam-registered customers; waived for foreign clients per law. Invoices may be milestone-based; payment via bank transfer. If an invoice is overdue, we may suspend work and withhold deliverables until cleared. Late amounts may accrue reasonable commercial interest; you agree to reimburse reasonable collection costs.

4. Deliverables & retention.

   • Design/brand/print/digital: final assets per scope (e.g., PDF/PNG/SVG/EPS); working files if specifically included.
   • Web: delivered to your hosting/domain; includes CMS handover and training; 12 months technical support for theme & core plugins (see §10 for scope). Hosting/domain remain your property.
   • Photo/Video: edited, color-managed masters per quote. Camera originals (RAW/LOG) are not included by default; agencies may license them via an Originals License Addendum.
   • Retention: we store project files for 6 months by default. Optional extended/3-2-1 archival is available as a paid add-on.

5. Acceptance window & defect remedy.

   Report any material defects within 14 days of delivery/go-live. We’ll correct verified defects that deviate from the agreed scope. Enhancements/new requests are out-of-scope.

6. Licences, IP & third-party assets.

   On full payment, you receive a commercial licence to use the approved deliverables for the purposes/territories/terms stated in your quote. We retain authorship (moral rights) unless agreed otherwise. Third-party assets (e.g., stock, fonts, themes, plugins, music, voiceover) are governed by their own licences; some are non-transferable and/or require your accounts or renewals. Open-source components remain under their original licences.

7. Client warranties (supplied materials & names).

   You warrant that materials you provide (names, copy, images, data, product claims) do not infringe third-party rights or applicable law. We design for distinctiveness but do not provide trademark clearance or legal opinions.

8. Color, print & production notes.

   We use a color-managed workflow. Due to device/substrate/printer variance, final colors can differ. For color-critical work, we recommend proofs; proof approval is your sign-off for color.

9. Subcontractors.

   We may use vetted subcontractors and remain responsible for their work. All subcontractors are bound by confidentiality.

10. Web specifics (build standards, browser support, accessibility/SEO & support scope).

    We build for speed, security, accessibility, and SEO best practices. We support current versions of major browsers on modern devices. Accessibility (e.g., WCAG-aligned practices) and on-page SEO are implemented to agreed levels; rankings/compliance outcomes are not guaranteed. Post-launch support (12 months) covers bug fixes and routine technical updates for the theme and core plugins; it excludes new features, redesigns, content entry, and third-party outages (hosting, DNS, CDNs, plugin/theme vendors, gateways).

11. Shoots & production (permits, safety, expenses & usage).

    For on-site work you ensure safe access and required permits/releases (e.g., model/property; drone flights via licensed operators, subject to local rules). Overtime, travel, per-diem, permits, parking, and location fees are billed at cost (or standard rates) with prior approval. Talent/voice/music are licensed separately per channels/territories/terms in your quote. Weather/force majeure rescheduling follows vendor terms; non-refundable third-party costs may apply.

12. Confidentiality & data protection.

    We keep your non-public information confidential and use it only to deliver the project. See our Privacy Policy for personal-data handling. If required by your policies or law, we can sign a simple Data Processing Addendum.

13. Priority & conflicts.

    If there’s a conflict, the signed proposal/SOW prevails over this web page.

14. Changes to Terms, force majeure & termination.

    We may update these Terms; the version in force when contracting applies. Neither party is liable for delays caused by events beyond reasonable control. Either party may terminate for material breach not cured within a reasonable time; fees for work performed remain payable.

15. Liability & indemnity.

    To the maximum extent permitted by law, we exclude indirect/consequential damages and cap total liability to the fees paid for the relevant project phase. You agree to indemnify us against third-party claims arising from your materials, instructions, or misuse of deliverables.
